The CTA requires certain business entitites to report the personal information of all beneficial owners to the Financial Crimes Enforcement Network (FinCEN). Put simply, the CTA functions as a comprehensive business ownership reporting mechanism that requires most private companies to disclose personal information of company owners and those who control the company. This presentation will cover the key facts of the CTA and how to navigate its challenges including whether a company is subject to the CTA and, if so, how to identify beneficial owners, company applicants and what information and documentation must be filed with FinCEN and when. \n \nAttendees will be provided a PowerPoint presentation and program outline.\n \nAbout our Presenters\n \n\n \nJocelyn Margolin Borowsky is a partner with Duane Morris LLP in Wilmington, Delaware, where she practices in the areas of estate planning, estate and trust administration and fiduciary litigation in Delaware, New Jersey, and Pennsylvania. A large part of her practice involves the review of clients’ overall estate plans, preparation of wills, and revocable trusts, and where appropriate, implementation of sophisticated trusts such as lifetime spousal access trusts, asset protection trusts, life insurance trusts, and dynasty trusts. Ms. Borowsky also works with closely held family businesses and professionals on issues involving strategic tax and business planning, the use of captive insurance and the creation of private family foundations and represents executives of publicly traded companies and shareholders of privately held companies going public. She also advises clients as to whether a company is subject to the CTA and helps them through the filing process. Ms. Borowsky is a fellow of the American College of Trust and Estate Counsel (ACTEC).\n \n\n \nElizabeth King is a Principal and the President of BBH’s Delaware Trust Company in Wilmington, Delaware. As such she leads the firm’s global trusts and estate business and advises domestic and international clients on all aspects of trust structuring, family governance, and philanthropy. Ms. King serves on the Board of Directors of BBH’s Delaware and New York trust companies, and as the Chair of the Trust & Investment Committee, she is responsible for overseeing ongoing administration of clients’ structures. Ms. King is an active member of the Delaware Bar and was the former chair of the Estates & Trusts Section of the Delaware State Bar Association.
